Required Legal freelancer for Need shareholder agreement and vesting schedule job

Hello,

We need agreements for the following scenarios:

1. Myself and my friend have cofounded a startup. My financial contribution to the costs are 70%, his is 30%. He is expected to put up to 40 hours a week into this, I'm expected up to 10 hours a week. We both have 50-50 ownership of the company. There is no vesting schedule for us two.

2. We've just brought on a new team member and decided to give him 10% equity. So both of us dilute down to 45% each. His equity is vested over a 20 month period (0.5% each month). There is a 2 month cliff before he gets anything. He's also being paid $400/month cash.

Should be fairly simple to draft.
