• Drafting of principal agreements and continuous disclosure documents including share and asset purchase agreements, take-over bid circulars, agency and underwriting agreements, prospectuses, management information circulars, shareholder agreements and credit agreements.
• Negotiating, drafting and reviewing ancillary agreements and closing documents including non-disclosure agreements, escrow agreements, termination agreements, security agreements, resolutions and certificates.
• Handling the Arbitration matters of NSE, BSE, ICEX and MCX (Stock Exchanges of India} and International as well as National Arbitration matters of the company (INDIA, MIDDLE EAST & US).
• Handling the cases pertaining NPA of NBFCs (Moneywise Financial Services Ltd.)and other sister companies of SMC Global Securities Ltd.
• Drafting/Vetting Agreements in compliance with IT Act, Payment & Settlement Act, FEMA, Contract Act, SARFAESI, Intellectual Property.
• Drafted and negotiated transaction documents including power purchase agreements, project documents for power projects, share purchase, share subscription and shareholders agreements, investment agreements, asset transfer/asset sale agreements, cross border joint venture agreements and loan agreements. Rendered general advisory services to clients regarding corporate laws, foreign direct investment in India, labour laws and anti-trust laws in India. Drafting legal notices, MOUs/LOIs, NDAs, Lease Deeds.
