Drafting/Adapting a contract manufacturing agreement

We are a brand owner that manufactures product with contract manufacturers.

We would like to draft an agreement that spells out the details of the engagement.

I have drafted a document that has the commercial terms, but it is badly written.

I also have another document I found on the internet that I need modify to capture our terms.
